2013 Miss Morning Glory Calendar Contest Rules, Waiver and Release

Clear Channel Broadcasting, Inc. its subsidiaries and affiliated companies (together, the “Company”), will conduct the Contest substantially as described in these rules, and by participating, each participant agrees as follows:

The Company may conduct the Contest concurrently and simultaneously on several participating radio stations owned and not owned by the Company, and in various States, and the Company may add or remove participating stations or change call letters of any participating station at any time during the Contest as announced on the affected station. Participating stations are listed above.

1. Description of Contest/Participation.

A. Dates of Contest: The “2012 Miss Morning Glory Calendar Contest” will begin on May 23, 2012 and end with the selection of Miss Morning Glory on a date to be determined and announced later

NO PURCHASE NECESSARY. PURCHASE DOES NOT INCREASE ODDS OF WINNING. Void where prohibited. Odds of winning depend upon the number of participants.

B. How to Enter:

Entry Guidelines:

• All photos submitted must be either in the form of .jpg or .gif, and can be no larger than 5500000 bytes.
• Promotes the subject in a positive manner;
• No photograph may contain indecent or obscene material or language.
• Content should not infringe or violate any copyright, patent, trademark, trade secret, right of publicity, or other intellectual property, proprietary, or contractual right of a third party.
• No defamatory or libelous material or material which discloses private or personal matters concerning any person, without such person’s consent.
• No content or material that is illegal, contains nudity or is sexually explicit, or by law, obscene, profane or pornographic.
• No content which implies or portrays graphic violence.

To participate in the contest, contestants must submit the Official Entry Form and Contest Release along with a photograph of in accordance with the Entry Guidelines set forth above. The Official Entry Form and Contest Release can be completed online at www.roverradio.com and submitted directly to WMMS, or can be downloaded from www.roverradio.com and submitted by postal mail to WMMS– 2012 MISS MORNING GLORY CALENDAR / 6200 Oak Tree Blvd, 4th Floor, Cleveland, OH 44131 or in person to the WMMS studios, Monday through Friday between the hours of 8:30 AM and 5:30 PM EST. Valid contest entries must contain all information requested and comply with all entry guidelines. Incomplete and/or multiple entries will be disqualified.

All Cleveland mail entries must be received by the close of business on Friday, June 22, 2012. All online entries must be received by 11:59 PM EST on Friday, June 22, 2012. Entries received after the June 22, 2012 deadline will not be eligible unless deemed necessary to better facilitate Contest by RoverMedia, Inc. or the Company.

BY ENTERING THE CONTEST, YOU ARE VERIFYING THAT YOU OWN OR CONTROL THE PHOTOGRAPH SUBMITTED, OR YOU HAVE OBTAINED A LICENSE FOR ALL OF THE USES TO BE MADE OF THE PHOTOGRAPH, EITHER COMMERCIAL OR PROMOTIONAL. YOU RETAIN ALL OWNERSHIP RIGHTS THAT YOU HAVE IN YOUR PHOTOGRAPH IF YOU ARE THE OWNER OF THE COPYRIGHT. HOWEVER, BY SUBMITTING THE PHOTOGRAPH, YOU HEREBY GRANT TO THE COMPANY A WORLDWIDE, NON-EXCLUSIVE, NON-RESTRICTIVE, ROYALTY-FREE, SUBLICENSEABLE AND TRANSFERABLE LICENSE TO USE, REPRODUCE, DISTRIBUTE, TRANSMIT, MAKE AVAILABLE, PREPARE DERIVATIVE WORKS OF, AND DISPLAY (INCLUDING YOUR NAME AND LIKENESS) IN CONNECTION WITH THE CONTEST, ON THE STATION’S WEBSITE OR WWW.ROVERRADIO.COM (AND ALL PLACES WHERE SOME OR ALL CONTENT FROM THE COMPANY IS AVAILABLE) AND OTHERWISE IN CONNECTION WITH THE COMPANY’S BUSINESSES.

The Company reserves the right to disqualify any entry it views as unsuitable for posting on its Internet sites, in its sole discretion.

A panel of judges will review all entries received during the entry period starting on Monday, June 25, 2012. No fewer than twenty (20) Qualifiers will be selected in the judges’ sole and absolute discretion based on the following criteria: look, appearance, and overall suitability for the Miss Morning Glory calendar. Each Qualifier will be contacted by phone to confirm eligibility and will be invited to attend the Calendar Search Event in Cleveland, OH scheduled on July 14, 2012. Qualifiers are responsible for transportation to Calendar Search Event. Qualifiers must arrive at the Calendar Search Event at a time specified by the Station and must check in with the Station upon arrival and show a form of photograph ID. Qualifiers must be on time or may be subject to being disqualified, in the Stations’ sole discretion. In the event that a Qualifier is disqualified, a replacement Qualifier may or may not be selected , in the Station’s sole discretion.

Cleveland Calendar Search Event will be held at a date and location to be determined.

All entrants must be able to attend the Calendar Search Event and are solely responsible for any transportation and lodging expenses.

At the Calendar Search Event, Qualifiers will be asked to stand in front of the audience in a bikini, bathing suit, lingerie, or similar garment of their own choosing, provided by themselves with no reimbursement provided by the Station. A panel of judges will score each Qualifier on a scale of 1-5 based on audience applause, appearance, presentation, personality, confidence, poise and any other factors deemed fit by the judges. The 12 contestants with the highest score will be deemed the finalists for the calendar and announced at the conclusion of the event.

All attire is subject to approval by the Station, in its sole discretion. Qualifiers may be disqualified at any time if his/her attire is deemed inappropriate, indecent, or unacceptable, in the sole discretion of the Station. Any contestant displaying nudity at the Calendar Search Event may be disqualified.

Should a Finalist be later determined to be ineligible, chooses not to participate in the Miss Morning Glory calendar, or for any reason be deemed unsuitable for the competition by the Company for any reason whatsoever, a Qualifier with the next-highest score at the Calendar Search Event will become a finalist.

The 12 Finalists will be required to attend the Photo Shoot (dates, times and locations TBD)

The 12 Finalists, will be required to attend the Calendar Release Party (date/time/location TBA) in Cleveland, OH where the Miss Morning Glory Grand Prize winner will be selected. Finalists are solely responsible for providing their own transportation and lodging for the Calendar Release Party. One Finalist will be announced as the Miss Morning Glory Grand Prize winner as selected by a panel of judges.

At the discretion of Company, Finalists must be present at the Calendar Release Party in order to be eligible for the grand prize.

Specific manner of judging entrants and/or elimination of entrants from the contest is at the sole discretion of Company, and may be modified at any time without prior notification.

All finalists must be 18 years of age or older, in excellent physical and mental health, and eligible to participate fully in this Event. Participant understands and acknowledges that if they are under 21 years of age and consume alcoholic beverages during the event, or if the contestant is 21 years of age or older and facilitates the consumption of alcohol by a minor, they may be automatically be disqualified by the Station at their sole discretion.

All decisions of the judges are final.

2. Prize(s). The prize(s) that may be awarded to the eligible winner(s) are:

ONE (1) GRAND PRIZE WINNER: One (1) Grand Prize Winner will receive a check in the amount of $3,000 within 30 days after receiving the title of Miss Morning Glory 2012; a trip for two as well as placement of their professional photograph taken by the WMMS photographer on the cover and on one month of the 2012 Miss Morning Glory Calendar. Winner will be dressed in revealing attire for photo shoot, such as a bikini or lingerie, chosen and provided by WMMS staff and provided (5) copies of the 2013 Calendar. Approximate Retail Value: (ARV = $4,500.00)

Runner Up Prizes: Eleven (11) runner-up contestants will receive their professional photograph taken by the WMMS photographer and placement on one month (each) of the 2012 Miss Morning Glory Calendar. Winners will be dressed in revealing attire for photo shoot, such as a bikini or lingerie, chosen and provided by WMMS staff and provided (3) copies of the 2012 calendar. Approximate Retail Value: ($45.00)

The prize(s) that may be awarded to the eligible winner(s) are not transferable, redeemable for cash or exchangeable for any other prize. Winner(s) must present state authorized identification prior to being awarded the prize. All prizes or prize vouchers must be redeemed from the Station within 60 days of the contest end date unless stated otherwise in these official rules. Certain prizes are date specific (i.e. concerts, trips) and the winner or winners must be available on the dates specified. If a winner cannot be contacted or is disqualified for any reason, the Company reserves the right to determine an alternate winner or not to award that winner’s prize, in its sole discretion.

3. Eligibility and Limitations. Previous MISS MORNING GLORY winners are not eligible to participate or win. Participants and winner(s) must be U.S. residents at least 18-years old, as determined by the Company, and reside in the Total Survey Area (TSA), as defined by Arbitron Inc., of a station that carries the Rover’s Morning Glory program or has carried the program at any time during Contest. If the contest is open to minors, a parent or guardian of any participant who is a minor must sign a release on behalf of the minor to be eligible to receive a prize, however, the Company reserves the right to refuse to award a prize to any minor. Unless otherwise stated above, only one (1) entry per person. Only one (1) prize per household for the Contest for any thirty (30) day period. Employees of the Company, the Contest’s participating sponsors and their advertising agencies, employees of other radio or television stations, and members of the immediate family of any such persons are not eligible to participate and win. The term “immediate family” includes spouses, siblings, parents, children, grandparents, and grandchildren, whether as “in-laws,” or by current or past marriage(s), remarriage(s), adoption, co-habitation or other family extension, and any other persons residing at the same household whether or not related.

4. Publicity; Use of Personal Information. By participating, where allowed by law, all participants and winner(s) grant the Company exclusive permission to use their names, characters, photographs, voices, and likenesses in connection with promotion of this and other contests and waive any claims to royalty, right, or remuneration for such use. By participating in the Contest, where allowed by law, participants agree that the Company may disclose personal information obtained from participants in the Contest to third parties and use such information for marketing and other purposes.

5. Consumer Created Content. If the entry for the Contest requires creative material from the participant/entrant, by submitting your entry: (1) you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place the company or contest sponsors under any fiduciary or other obligation, that the company is free to disclose the ideas on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you; (2) you acknowledge that, by acceptance of your submission, the company and contest sponsors do not waive any rights to use similar or related ideas previously known to sponsor, or developed by their employees, or obtained from sources other than you; (3) you are verifying that you are the owner and producer of the submitted material and that no third party ownership rights exist to any material submitted, and (4) you are hereby granting the company and the station a perpetual, worldwide, non-exclusive, royalty-free, sub-licensable (through multiple tiers) right and license to use, publish, reproduce, display, perform, adapt, modify, distribute, have distributed and promote such content in any form, in all media now known or hereinafter created, anywhere in the world, for any purpose.

6. Release. I desire to participate in a promotion entitled 2012 Miss Morning Glory Calendar (the “Event”) conducted by radio station WMMS-FM (the “Station”). In order to participate in the Event, I personally submitted a photograph of myself (the “Entry”) which may or may not be posted on the Station’s internet website. In consideration for allowing me to participate in the Event, I agree as follows:
For purposes of this Release Agreement, the “Released Parties” shall mean any person or entity associated in any way with the Event, including but not limited to the Station, Clear Channel Broadcasting, Inc., RoverMedia, Inc., their respective parent, subsidiaries, affiliates, officers, directors and employees. Furthermore, for purposes of this Release Agreement, the term “Loss” shall mean all damages, losses, costs, and injuries of every kind and character including, but not limited to, all economic damages, loss of business opportunities, embarrassment, mental anguish, loss of consortium, loss of services, loss of companionship, and loss of employment.

I hereby warrant and represent by submitting the Entry that I am the sole owner of the Entry and/or that the Entry does not infringe on any third party’s intellectual property rights, including copyrights, trademarks or other proprietary or personal rights.

I further warrant and represent that (1) the Entry submitted does not contain any materials owned or controlled by a third party for which I have not obtained a license, and (2) if applicable, I have obtained the written consent, release, and/or permission of each and every identifiable individual person in the Entry submitted to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the Entry in the manner contemplated by the Station’s website.

I acknowledge and agree that the Released Parties may subsequently use for publicity and/or promotional or commercial purposes, my name, likeness, photographs, videotapes or other recordings, including but not limited to the Entry submitted in the Event, of him/her participating in the Event, without any additional consideration to me, beyond allowing me to participate in the Event.

I understand that by entering and submitting my Entry, I have granted to the Released Parties, a perpetual, worldwide, non-exclusive, royalty-free, sub-licensable (through multiple tiers) right and license to use, publish, reproduce, display, perform, adapt, modify, distribute, have distributed and promote such content in any form, in all media now known or hereinafter created, anywhere in the world, for any purpose, without any further notice or consideration.

I understand and agree that the Entry may or may not be posted on the Station’s website for competitive purposes or other promotional and/or commercial use by the Station.

I certify I am over the age of 18 and am legally competent to sign this Release Agreement and I understand that the representations contained in this Release Agreement are contractual and not mere recital. I have fully informed myself of and understand the contents of this Release Agreement and I have signed this document of my own free act.

I certify, acknowledge and agree as follows: (i) I am over the age of eighteen (18) and am legally competent to sign this Release; (ii) I have read this agreement carefully and understand its provisions; (iii) I understand that I have the right to consult with an attorney; (iv) I have determined that it is in my best interest to enter into this agreement; (v) I have not been influenced to sign this agreement by any statement or representation by the Released Parties not contained herein; and (vi) I enter into this agreement knowingly and voluntarily.

Submitting the contest form online at www.roverradio.com constitutes your expressed agreement and is considered a valid, legally binding signature (equal to that of a written signature).

I have read, received an explanation on any of my questions concerning, and understand the Official Rules of the Contest and I represent that I have complied fully with these rules, and that I understand that any violation of the Official Rules could result in my ineligibility to compete in the Event or to receive the Prize(s) or in the revocation of the Prize(s).

I warrant that I am in good health and have no physical condition that would prevent me from participating in the Event or receiving the Prize(s). I fully realize, understand and acknowledge the dangers of participating in the Event which involves the 2012 Miss Morning Glory Calendar Search and that no amount of care, caution or expertise can eliminate such dangers.

I agree not to throw any items from the stage before, during or after the competition, or in any way endanger other participants or spectators. I realize and accept full liability for my actions while on stage.

By signing below on this day of , 2012, I acknowledge that I have received valuable consideration from Clear Channel Radio, Inc., WMMS-FM, & RoverMedia, Inc. in the form of a prize or award and/or my participation in the: MISS MORNING GLORY CALENDAR SEARCH .

In return for the consideration I have received, I assume full responsibility for risk of bodily injury, illness, death or property damage arising out of my participation in the above event, and with the intent to bind myself and my spouse, parents, legal representatives, heirs and assigns, I release Clear Channel Radio, Inc., WMMS-FM, RoverMedia, Inc. and all other listed and unlisted sponsoring agents and its officers, directors, employees and agents per attachment from all liability for any loss or damage or claim for damages resulting from my death or from injury to me or my property, whether or not caused by my negligence or the negligence of others. I also agree that all other listed and unlisted sponsoring agents per attachment may use my name and picture for publicity releases.

I understand that this Release is intended to be as broad and inclusive as permitted by the laws of the State of Ohio and I agree that if any portion of this Release is held to be invalid, the remainder will continue to be in effect.
Under the penalties of perjury, I certify that the information provided below, including Social Security number, is true, correct and complete, and that I am not subject to backup withholding. I understand that I am responsible for payment of all federal, state and local income taxes and similar taxes that may be imposed on me as a result of my receipt of any prize or award. By signing below, I acknowledge that this listed prize value in the official contest rules will be reported on the Form 1099 Miscellaneous Tax form issued by Clear Channel Radio, Inc., at the end of this present tax year. I release Clear Channel Radio, Inc., RoverMedia, Inc., and WMMS-FM from all liability.

Under the penalties of perjury, I certify that the information provided below, including Social Security number, is true, correct and complete, and that I am not subject to backup withholding. I understand that I am responsible for payment of all federal, state and local income taxes and similar taxes that may be imposed on me as a result of my receipt of any prize or award. By signing below, I acknowledge that this listed prize value in the official contest rules will be reported on the Form 1099 Miscellaneous Tax form issued by Clear Channel Radio, Inc., at the end of this present tax year. I release Clear Channel Radio, Inc., RoverMedia, Inc., and WMMS-FM from all liability.
